Passive-ish Income - 10 month payment plan - March 2027

I built a solo cleaning business from scratch, turned it into a six-figure online coaching business, and now I work around my family from home.

I know what it feels like to start from nothing. I also know what's possible when you take what you know and turn it into something that earns for you without you having to be hands-on every single day.

That's exactly what I'm going to help you do.

I am so grateful to Helen! 18 months ago, I wanted to build a space where I could help people manifest with ease. Helen was instrumental in helping me not only believe I could do it, but the structure and strategy of my membership. Now my business is thriving and I am leading a growing community! Forever grateful!

PASSIVE-ISH INCOME

BUSINESS COACHING PROGRAMME AGREEMENT

This Agreement is made on the date the Client purchases the Programme or otherwise accepts these terms.

BETWEEN

Helen Young, a sole trader trading as Solo Cleaners Success Academy, whose business address is Ellacott Morris, Waterloo House, 2 Colchester Road, St Osyth, CO16 8HA (the "Company"); and

the person or business named in the order or enrolment details (the "Client").

Together known as "the Parties".

By purchasing the Programme, ticking acceptance at checkout, signing this Agreement or accessing the Programme, the Client agrees to abide by these terms without variation.

1 The Programme

1.1 The Client is entering into a 12-week online group coaching, training and business support programme called Passive-ish Income (the "Programme").

1.2 The Programme is for business owners and aspiring online business owners who want to develop income from online courses, coaching, mentoring, memberships, digital products or other suitable online offers.

1.3 The Programme is delivered remotely online. The Client accepts and understands that this is a group programme and that coaching, training and support will be delivered alongside other participants in a group setting.

1.4 The core Programme is delivered over 12 weeks beginning on the official Programme start date notified to the Client, with one module scheduled for release each week. The 12-week delivery period is fixed and will not be extended because the Client joins late, misses a session or does not participate.

1.5 The Client's purchase is for Passive-ish Income. It does not include any separate membership, course, programme, one-to-one service or product unless expressly stated in writing.

2 The Services

2.1 The Services are group coaching, mentoring, training and business support designed to help the Client plan, create, market and develop an online income stream or online business (the "Services").

2.2 During the 12-week core Programme period, the Services may be delivered through pre-recorded modules, scheduled live group coaching or training sessions, a private Facebook group or other online community, and access to videos, workbooks, templates and other resources described on the sales page or checkout page.

2.3 The Company will provide the Services with reasonable care and skill.

2.4 Any remotely delivered sessions will take place via Zoom or another online meeting facility. Programme materials will be provided through Kajabi or another suitable online platform.

2.5 The Client is responsible for attending scheduled sessions at the agreed time. If the Client cannot attend or fails to attend, the Client forfeits the live element of that session. Where a recording is made available, the Client may watch the recording instead.

2.6 If the Company is unable to deliver a scheduled session, the Company will make reasonable attempts to give notice and will reschedule it or provide a suitable alternative.

2.7 Active teaching and structured group support are provided during the 12-week core Programme period through the designated Programme group, community or group sessions. One-to-one coaching or support by private message, text, WhatsApp, email or any other individual communication channel is not included unless expressly agreed in writing.

2.8 After the 12-week core Programme period, the Client will retain ongoing access to the designated private Facebook group for as long as the Company continues to operate and maintain that group. The Company may continue to answer questions, share resources and facilitate discussion, but does not guarantee any response time, frequency of posts, live sessions or level of personal input after the 12-week period.

2.9 The Company may make reasonable amendments, revisions or changes to the Programme, its timetable, delivery platform or individual sessions where necessary. Where a material element is cancelled, the Company will make reasonable efforts to reschedule it or provide a suitable alternative.

3 Access to Materials

3.1 When delivery begins, the Client will be granted access to the training materials and electronic resources provided for Passive-ish Income.

3.2 Subject to payment of the Fee in full and continued compliance with this Agreement, the Client will have ongoing lifetime access to the Passive-ish Income training materials and recordings, including future releases and updates to the core Programme that the Company makes generally available to Passive-ish Income clients.

3.3 For the purposes of this Agreement, lifetime access means for as long as Solo Cleaners Success Academy continues to operate and is reasonably able to make the relevant materials available. It does not mean for the Client's natural lifetime.

3.4 Lifetime access includes future releases and updates to the core Passive-ish Income course materials. It does not include unrelated new courses, programmes, memberships, paid events, bonuses or one-to-one services unless the Company expressly states otherwise.

3.5 Ongoing access to the private Facebook group is included on the basis set out in clause 2.8. This is community access and does not amount to lifetime active coaching, unlimited personal support or a guarantee that the same group, platform or format will remain available indefinitely.

3.6 The Company may update, replace or move the materials or community to another suitable platform. If the Programme, community or business is permanently discontinued, a third-party platform closes or changes its services, or continued provision is no longer reasonably practicable, the Company may end or replace the relevant access. Where reasonably practicable, the Company will provide reasonable notice and an opportunity to download any downloadable materials.

4 Client Obligations

4.1 The Client accepts that participation may require them to review and make decisions concerning their business, career, finances, education and development. Any review, decision, implementation and action will be the sole responsibility of the Client.

4.2 The Client is solely responsible for decisions and actions taken as a result of matters reviewed or discussed during the Programme. The Company is not liable for the Client's failure to make decisions, implement plans or strategies, or achieve any particular result.

4.3 The Client is responsible for participating honestly and constructively, taking any action they consider appropriate, and seeking independent professional advice where needed.

4.4 The Client understands that the Programme is a group programme and agrees to conduct themselves reasonably and responsibly. The Client must not act in a way that causes offence, distress or alarm, disrupts the Programme or impairs another participant's experience.

4.5 The Client agrees to keep information shared by other participants private and confidential. The Company cannot guarantee that other participants will comply, and the Client should not share information within the group that they are not comfortable sharing in that setting.

4.6 If the Client has concerns about delivery of the Services or their participation, they will notify the Company by email at helen@solocleaners.co.uk as soon as possible so that reasonable efforts can be made to resolve the concern.

4.7 The Client understands that once this Agreement is accepted it may only be cancelled or terminated in accordance with this Agreement. The Client agrees to pay the whole Fee, and refunds apply only as set out in clause 6.

4.8 Participation does not guarantee results or success. The Client will have access to information, resources and support designed to benefit them, but it is their responsibility to take action and implement what they learn.

4.9 Materials and information provided during the Programme are for general educational purposes and do not constitute legal, financial, tax or accounting advice.

4.10 The Client must not canvass, promote or advertise their products or services to other participants, employees or contractors through the Programme without the Company's express consent.

5 Fees and Payment

5.1 The total cost of the Programme is £1,997, inclusive of VAT (the "Fee").

5.2 The Client must select one of the payment options made available at checkout: (a) payment in full of £1,997 by debit or credit card; (b) five monthly instalments of £399.40; (c) ten monthly instalments of £199.70; or (d) payment in full using Klarna or Clearpay, subject to availability and approval by the relevant provider.

5.3 The five-month and ten-month payment plans are ways of spreading the fixed Fee and are not monthly subscriptions. The first instalment is due on purchase and the remaining instalments are due monthly on the dates shown at checkout. By accepting this Agreement, the Client commits to pay the entire £1,997 Fee.

5.4 There will be no refund, discount or option for part-payment if the Client decides not to proceed with or stops participating in the Programme, except where clause 6 or the Client's statutory rights apply. Where the Client selected a Company payment plan, monthly payments will continue until the entire Fee is paid.

5.5 Where the Client selects Klarna or Clearpay, the provider pays the Company for the purchase and provides a separate payment arrangement to the Client. Eligibility, payment dates, missed payments and any charges are governed by the provider's own terms, which the Client must read and accept before purchasing. Using Klarna or Clearpay does not make the Programme a subscription or change the cancellation and refund terms in this Agreement.

5.6 If a Company payment-plan instalment is not paid when due, the Company may retry payment, contact the Client and suspend access to the Services, sessions, community and resources until the account is brought up to date. If a Klarna or Clearpay payment is missed, the Client must deal directly with that provider under its terms.

5.7 If a payment owed directly to the Company remains overdue for more than 14 days, this will amount to a material breach. The Company may terminate this Agreement, remove the Client from the Programme and seek recovery of all properly outstanding Fees and reasonable recovery costs. Any refund agreed or required for a Klarna or Clearpay purchase will be processed through the original provider.

6 Refunds and Cancellation

6.1 This Agreement is intended to form a business-to-business contractual relationship because the Programme is purchased for the Client's current or intended business activities. No refund is permitted merely because the Client changes their mind. The Client should check the Programme details for suitability before purchasing and raise any questions before joining.

6.2 Nothing in this Agreement affects any statutory rights or remedies that apply and cannot lawfully be excluded.

6.3 The Client may stop attending the Programme at any time, but stopping participation does not cancel this Agreement or remove the obligation to pay any outstanding balance of the Fee.

6.4 If the Company cancels the whole Programme and does not provide a reasonable rescheduled date or suitable alternative, the Client will receive a refund of Fees paid for Services that have not been provided.

7 Termination

7.1 This Agreement may be terminated if either Party commits a material breach and, where the breach is capable of remedy, fails to remedy it within 14 days of written notice, or commits a material breach that cannot be remedied.

7.2 The Company may limit or suspend the Services, exclude the Client from a session, or terminate this Agreement if the Client is disruptive or abusive, impairs another participant's experience, infringes intellectual property or confidentiality obligations, or fails to follow this Agreement or reasonable Programme guidelines.

7.3 Where appropriate, the Company will notify the Client of the concern and give them a reasonable opportunity to respond or remedy it. Immediate action may be taken where reasonably necessary to protect the Company, the Programme or its participants.

7.4 On termination because of the Client's breach, access to live Services and private groups may be removed immediately. Access to materials may also be suspended or removed where the breach concerns non-payment, confidentiality, intellectual property, account sharing or misuse of materials. Fees already paid will not be refunded and properly outstanding Fees remain due.

8 Confidentiality Intellectual Property and Data Protection

8.1 Each Party agrees not to disclose the other Party's confidential information except where necessary to provide or receive the Services, where permission has been given, or where disclosure is required by law or a valid legal order.

8.2 Confidential information does not include information already lawfully known, already in the public domain, received lawfully from a third party, or independently developed without use of the other Party's confidential information.

8.3 The Client must preserve and protect information shared by other Programme participants and must not record, screenshot, copy or disclose another participant's contribution without permission.

8.4 All Programme materials, methodologies, systems and processes are the Company's confidential and proprietary intellectual property or are used by the Company under licence.

8.5 The Company grants the Client a personal, limited, non-transferable, non-exclusive and revocable licence to access and use Programme materials solely within the Client's own business and for the purposes intended by this Agreement.

8.6 The Client must not reproduce, distribute, sell, license, share, publish, teach or commercially exploit the Programme materials; share login details; allow another person to access the materials; present the materials as their own; or use them to create a competing course, coaching programme or resource.

8.7 No Client recording of Programme sessions, live webinars or video resources is permitted without the Company's express written consent.

8.8 Group sessions may be recorded by the Company. If the Client speaks, appears on camera or contributes in a recorded chat, their name, image, voice or contribution may be included in the recording and made available to participants in this run as part of their ongoing access. A Client who does not wish to appear should keep their camera and microphone off and avoid sharing identifying information in a recorded chat.

8.9 Personal data will be stored, accessed and processed in accordance with applicable data protection law. Details of the Company's processing are set out in the privacy notice at www.solocleaners.co.uk.

8.10 If the Client voluntarily provides a written or video testimonial, the Company may use it for marketing in the manner agreed when it is provided. Permission may be withdrawn for future use by written notice, although this will not require recall of material already published or distributed.

8.11 The obligations in this clause survive termination of this Agreement.

9 Liability

9.1 The Company has made reasonable efforts to represent the Programme and Services accurately. Testimonials and examples do not guarantee that the Client will achieve the same or similar results. Success depends on factors including the Client's circumstances, decisions, effort and implementation.

9.2 The Company does not guarantee any particular revenue, profit, customer numbers, saving or other business outcome.

9.3 The Company will not be liable for indirect, consequential or special loss. To the extent permitted by law, the Company's total liability arising from this Agreement is limited to the Fee paid or payable by the Client for the Programme.

9.4 The Programme does not provide medical, legal, financial, tax or accounting advice. The Client should obtain advice from an appropriately qualified professional where required.

9.5 Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be limited or excluded.

10 Notices

10.1 A notice under this Agreement must be sent by email or first-class post to the contact details provided by the other Party. Notices to the Company should be sent to helen@solocleaners.co.uk or the business address stated at the beginning of this Agreement.

10.2 An email notice is deemed received when a valid delivery notification is received before 5 pm UK time, or at 9 am on the following business day if received later. A postal notice is deemed received on the second business day after posting.

10.3 The Client must keep their contact details up to date and notify the Company of any change within seven days.

11 General

11.1 A failure or delay by either Party to enforce a provision does not waive that Party's right to enforce it later.

11.2 If a provision is found invalid or unenforceable, it will be removed to the minimum extent necessary and the remaining provisions will continue in effect.

11.3 This Agreement is the entire agreement between the Parties in relation to the Programme and supersedes earlier negotiations, drafts and discussions. Any sales page and order confirmation form part of the Agreement. If there is an inconsistency, this Agreement takes priority unless a later written term expressly states otherwise.

11.4 Neither Party will be liable for delay or failure caused by circumstances reasonably beyond their control. The affected Party will take reasonable steps to reduce the impact and resume performance as soon as reasonably possible.

11.5 This Agreement is governed by the laws of England and Wales. The Parties submit to the exclusive jurisdiction of the courts of England and Wales.

11.6 No variation is effective unless agreed in writing by the Parties.

11.7 The Contracts Rights of Third Parties Act 1999 does not apply to this Agreement.

11.8 The Client confirms that they have had sufficient opportunity to read this Agreement and seek independent legal advice before accepting it.

12 Acceptance

12.1 The Client accepts this Agreement by purchasing the Programme, ticking the relevant acceptance box at checkout, signing below, or accessing the Programme after receiving these terms.

12.2 By accepting, the Client confirms that they understand:

• the core Programme is delivered over 12 weeks and does not include one-to-one support;

• the total Fee is £1,997, payable in full, in five monthly instalments of £399.40, in ten monthly instalments of £199.70, or in full through Klarna or Clearpay where available;

• the five-month and ten-month payment plans are not subscriptions and the entire Fee remains due;

• lifetime access includes the core Passive-ish Income materials and future releases, while ongoing Facebook group access does not guarantee lifetime active coaching or personal support; and

• the confidentiality and intellectual property restrictions in this Agreement.
